The three layers behind “local” home services
Private equity has built a three-layer ownership structure across residential HVAC, plumbing, and electrical. Knowing the layers is the fastest way to understand why two “local” companies can behave completely differently.
Layer 1 — The control sponsor
A private equity firm or institutional investor that owns the platform. This is where the returns flow, and where hold-period and resale decisions are made.
Layer 2 — The operating platform
A holding company that provides capital, recruiting, procurement, and acquisition support across dozens of local companies. Most homeowners never hear its name.
Layer 3 — The local brand
The name on the truck. After an acquisition it usually stays the same — same logo, same reviews, same phone number — while the ownership above it changes completely.
